1. Operator and acceptance

PROFFERS is operated by CEACO, Tabarja, Keserwan, Lebanon (the “Operator”). These Terms apply to visitors, registered users, Store Owners and business-module users. When you create an account or accept these Terms through the service, you agree to the version presented. Mandatory rights under applicable law remain unaffected.

2. Independent Stores and the nature of PROFFERS

PROFFERS operates a platform for discovering Stores, Offers and Announcements. Independent Stores—not PROFFERS—normally provide advertised products and services and remain responsible for prices, stock, product quality, warranties, delivery, cancellation, returns, taxes and consumer-facing legal obligations. Viewing an Offer does not make PROFFERS a party to a Store's sale unless a specific, separately agreed platform transaction expressly says so.

3. Accounts, access and security

Users must provide materially accurate information and keep credentials and staff access secure. Business account holders are responsible for persons they authorize, their permissions and actions within the service, subject to applicable law. We may require verification or suspend unsafe access and may impose reasonable operational controls, limits and multi-factor security requirements.

4. Store Owners and advertising representations

A Store Owner or submitter warrants that it has authority to represent the business, owns or is licensed to use supplied trademarks, pictures and text, and can substantiate Offer claims. It must comply with consumer, advertising, intellectual-property, pricing and sector-specific laws; honor properly presented Offers; keep availability, dates and contact details accurate; and promptly correct misleading or obsolete material.

Submission never guarantees publication. PROFFERS may review, reject, unpublish, lock or remove content and investigate disputed ownership, misleading claims or unlawful promotions. Moderation is not an assurance of legal compliance.

5. SMS marketing responsibilities

Business customers are responsible for the contact lists they provide and the lawful use, recipients, purpose and content of their SMS campaigns, including any notices, permissions and opt-out rights required by applicable law. PROFFERS reviews sender IDs before activation and may review or reject message content and campaigns. Platform approval does not transfer legal responsibility for customer-provided data or instructions to CEACO.

We may restrict or stop misuse, deceptive campaigns, prohibited sender identities or activity that breaches applicable law or platform rules.

6. Packages, prices and billing

PROFFERS currently accepts payment for business packages, account access and SMS credits offline, including cash or money transfer. It does not currently process online card payments or automatically renew paid packages. Prices, credits, duration, Store-specific allowances and expiry are communicated at purchase through the applicable offer, invoice or account assignment.

Payments are subject to the agreed commercial terms and mandatory law. Unless expressly agreed, unused packages or credits do not create an entitlement to cash refunds; duplicate or erroneous payments will be reviewed. Expired, unpaid or misused entitlements may be restricted or suspended in accordance with these Terms and applicable law.

7. The PROFFERS intellectual property

CEACO owns or holds the rights to the PROFFERS brand, platform and original content. Use of the service grants you a limited, non-transferable right to access authorized features; it does not grant ownership of PROFFERS technology, branding or materials. Store-provided content remains subject to its rightful owner’s rights and the license below.

8. Submitted content and permission to display

You retain ownership of eligible original content that you lawfully supply. You grant PROFFERS a worldwide, non-exclusive, royalty-free license to host, reproduce, format, display and distribute submitted business material solely as reasonably necessary to provide, promote, secure and evidence your authorized Store presence and Offers, including ordinary caching and backups, for the relevant service period and reasonable archival/compliance needs. You warrant that you can grant this license; the Operator may remove material after a dispute or termination, subject to lawful retention.

9. Scraping, AI systems and reverse engineering

Except where authorized by CEACO in writing or protected by mandatory law, copying or commercially reusing the platform or its original content, systematically extracting its data, circumventing security controls, reverse engineering restricted components or using non-public platform materials to train competing systems is prohibited.

10. Prohibited conduct

You must not commit fraud, impersonate a Store or user, submit unlawful or deceptive promotions, distribute malware, probe security without authorization, interfere with service availability, spam users, misuse identity data, circumvent purchase or messaging quotas, or violate third-party rights. We may investigate suspected conduct and preserve proportionate audit evidence.

11. Moderation, access changes and termination

We may review, remove or restrict content or access when reasonably necessary for security, policy violations, legal obligations, fraud prevention, non-payment under applicable business terms or maintenance. Where practicable and lawful, we may provide notice and an opportunity to remedy material issues. Termination does not extinguish accrued obligations, appropriate records retention or provisions that should survive.

12. Notifications, integrations and availability

Push and SMS delivery depend on recipient permissions, device configuration, networks, approved gateways, carrier filtering and other external factors. PROFFERS does not guarantee delivery, impressions, clicks, revenue, uninterrupted service or freedom from all defects. Maintenance, outages or changes in third-party services may limit access, subject to any separately agreed service level.

13. Third-party services

Links, Offers, payment platforms if separately enabled, Facebook/Google/Apple authentication providers and Firebase or messaging gateways have independent terms and processes. PROFFERS is not the seller or operator of third-party goods or services merely by linking to them.

14. Confidential business information

Business users must safeguard non-public credentials, API keys, dashboard content, rate cards, pricing proposals, contacts and other information reasonably marked or understood to be confidential. This does not prevent legally compelled disclosure, disclosures already public without breach, or disclosures to authorized professional advisers under suitable confidentiality obligations.

15. Disclaimer and responsibility

The platform is supplied with reasonable care but, to the maximum extent permitted by applicable law, without a promise that all third-party Store claims or services are accurate, continuously available, or suitable for a particular commercial result. Store Owners are responsible for their own customer transactions. PROFFERS remains accountable for its own non-excludable obligations and liabilities.

16. Limitations of liability

To the fullest extent permitted by applicable law, CEACO is not liable for indirect or consequential losses or speculative profits arising from independent Store content, third-party providers or ordinary service disruption. For paid business services, CEACO’s aggregate contractual liability relating to the affected service is limited to fees paid for that service in the preceding twelve months. This limitation does not exclude fraud, wilful misconduct or liability that cannot lawfully be limited.

17. Business indemnity

To the extent permitted by law, business users will indemnify CEACO against third-party claims and reasonable costs resulting from the business user’s unlawful content, misleading Offers, unauthorized SMS campaigns or breach of these Terms, except to the extent caused by CEACO’s own wrongful conduct.

18. Personal data and deletion

Our Privacy Policy explains processing. Deletion instructions are at Data Deletion. Consumer deletion and privileged/Store Owner accounts may involve distinct verification and business record-transfer requirements. Removing an account does not automatically erase information legally required for billing, security or compliance.

19. Changes, notices and policy versions

Material changes to agreed paid business terms require the applicable contractual notice and acceptance process. For general service Terms, we may publish a revised date and give additional notice where required. Users should be able to identify the current version; changes do not retroactively remove accrued rights. Where an explicit separate agreement conflicts, the appropriately signed and applicable agreement governs the subject of that conflict.

20. Governing law and disputes

These Terms are governed by Lebanese law, subject to mandatory consumer protections and jurisdictional rules. Disputes shall be submitted to the competent courts of Lebanon unless mandatory law provides otherwise.

21. General provisions and languages

If any provision is unenforceable, the remaining provisions continue to apply. Failure to enforce a provision is not a waiver. PROFFERS may transfer the service as part of a lawful transfer of the business. The English and Arabic editions are official and intended to have the same meaning; any discrepancy will be interpreted consistently with applicable law and the shared meaning of both texts.
